Document Templates

kiiac can quickly create document drafting templates from a set of your documents. Templates can be deployed on your intranet or made available as word processing files. Each template comprises a document outline and a clause library of default and alternative clauses.

DOCUMENT OUTLINE

• kiiac automatically creates a standard document outlines accurately capturing the organizational structure of the source documents

• Icons to the left of each caption heading show in what proportion of the contracts in the Reference Set a given clause appears.

The image [right] shows a portion of the template outline for a credit agreement. The commonality icons indicate how frequently each clause appears. For example, the sections entitled "Definitions" and "Representations and Warranties" appear in all contracts in the Reference Set, whereas a section entitled "Guaranty" appears in approximately 25% of the documents.

 

CLAUSE LIBRARY

• For each caption heading in the outline, kiiac  creates a clause library.

• KIIAC finds clauses no matter where they occur in any document.

The image [right] shows a sample clause list. It groups clauses according to the extent to which they conform to the standard language found in the clause set. Icons to the left of each clause caption show how consistent each clause is compared with all instances of that clause in the Reference Set.
