Sample Project Plan

Task Customer Time Estimate
1. Project Planning
Review and select the scope, process and deployment options
  • What documents?
  • How will they be collected and vetted?
  • What type of template?
  • How will it be deployed?
1 hour
2. Document Collection
Identify the documents you wish to process either from an existing collection or using the search features of a document management application; save the documents in a local or server directory.  KIIAC can help make this process more efficent.

Editorial Time
1-4 hours; depending on whether an existing collection is available
3. Index Documents
The Document Indexer application reads the source files, converts them to text format, classifies the files, decomposes them into their constituent clauses and builds inverted indexes for clause matching and searching.
None. Performed by KIIAC Consultant
4. Create Initial Template
The Workbench application creates a template outline based on the selected document classifications.
None. Performed by KIIAC Consultant
ATTORNEY REVIEW OF TEMPLATE OUTLINE (optional)
5. Refine Template Outline
The Workbench application contains tools to edit the outline, including features to merge, move, delete or rename outline elements. Additional tools can identify "sub-templates" (for example, a collection of merger agreements may include documents created for a tender offer or the acquisition of a private company).
Optional Editorial Time (otherwise performed by KIIAC Consultant)
4-8 hours, depending on the complexity of the documents
ATTORNEY APPROVAL OF TEMPLATE OUTLINE
6. Select Default and Alternate Clauses
The Clause Editor application is used to identify default and alternative clauses; mark alternative clauses with configuration options identifying when the clause should be used.
Optional Editorial Time (otherwise performed by KIIAC Consultant)
8-16 hours depending on the complexity of the documents
7. Edit Clause Language
The Clause Editor is also used to edit the clause language to identify document variables (such as names, dates and amounts); remove deal-specific language and ensure language consistency; and optionally create a set of defined terms. The process of editing the clause language may be performed directly in the Clause Editor, or the application can print the selected clauses to a separate document for attorney editing outside the Clause Editor.
Optional Editorial Time (otherwise performed by KIIAC Consultant)
Estimate: amount of time required to fully review and edit a single document multiplied by the average number of alternative clauses in each section
ATTORNEY APPROVAL OF CLAUSE LANGUAGE
8. Deploy Template
Copy the final template to a web server and set the desired displayed options (such as document assembly; document research and Wiki display).
None. Performed by KIIAC consultant
